Affiliate Program Terms

These Affiliate Program Terms ("Terms") govern your participation in the PepMate referral/affiliate program ("Program") operated by Protasys ("we", "us", "PepMate"). By creating a referral code or participating in the Program you agree to these Terms. If you do not agree, do not participate.

1. ELIGIBILITY

• You must be at least 18 years old (or the age of majority where you live) and legally able to enter a contract.
• You must have a valid PepMate account and a valid payout account (e.g. PayPal) in a country where we are able to send payments and where the Program is not prohibited by law.
• The Program is void where prohibited or restricted by law.

2. HOW IT WORKS

• You create a unique referral code (4 to 6 characters, A-Z and 0-9 only, no spaces). Codes are subject to availability and our approval, and may not infringe trademarks, impersonate others, or contain offensive content.
• When a new user subscribes to a paid PepMate plan using your code, that user is attributed to you as a "Referred Subscriber".
• The Program is SINGLE-LEVEL (direct referrals only). You earn ONLY on subscribers you personally refer. You do NOT earn on referrals made by the people you refer. This is not a multi-level marketing or pyramid program.

3. ONE-TIME REFERRAL REWARDS

• You may earn one one-time reward for each new Referred Subscriber who uses your code and completes a qualifying paid PepMate subscription.
• Rewards are not recurring. Renewals, upgrades, downgrades, repeat purchases, or additional payments by the same Referred Subscriber do not create additional rewards. If a free trial converts to a paid subscription on a renewal event, that first paid conversion may count as the one reward.
• Current MVP reward amounts are US$2 for a monthly plan, US$4 for a quarterly plan, and US$7 for an annual plan. We may change reward amounts at our discretion (see Section 7).
• A reward becomes eligible only after the payment is completed and the refund hold period has passed. The standard refund hold is 30 days unless the app or Program materials state a different period. If a payment is refunded, charged back, cancelled during the hold period, or found to be fraudulent, the related reward is reversed or voided and may be deducted from your balance.

4. PAYMENTS

• Payouts are made in U.S. dollars on the schedule shown in the app once your available balance reaches the minimum payout threshold of US$25.
• Payout setup requires a valid, eligible payout account. If you have not provided accurate payout details, we cannot send a payout.
• Payouts are made NET OF A PAYOUT PROCESSING FEE shown in the app before you request a payout. You are also responsible for any third-party transfer, payment-provider, or currency-conversion fees.
• Payments are made by PepMate / Protasys. Apple is not a party to the Program and has no responsibility for it. Payouts are sent through a third-party payment provider (e.g. PayPal); their terms also apply.
• You are responsible for providing accurate payout details. We are not liable for payments sent to an incorrect account you provided.

5. TAXES

• You are solely responsible for determining and paying any taxes on amounts you earn. You may be required to provide tax information before we can pay you, and we may report payments and/or withhold amounts where required by law (for example, U.S. 1099 reporting for payees who reach applicable thresholds).

6. PROHIBITED CONDUCT

You must not:

• Refer yourself, or create accounts or subscriptions to claim rewards on your own purchases ("self-referral").
• Use fake, automated, incentivized, or fraudulent installs, accounts, or subscriptions.
• Spam, send unsolicited messages, or use deceptive, misleading, or unauthorized marketing.
• Offer to share, rebate, or "kick back" rewards in a way that effectively discounts the subscription price outside the App Store.
• Bid on PepMate or Protasys trademarks in paid search, or imply you are the official app or that you are employed by or partnered with us beyond being an independent affiliate.
• Incentivize or solicit App Store ratings or reviews in exchange for codes or rewards.
• Market PepMate as medical advice, a prescription service, or a way to obtain or use medication without a licensed clinician.

Violations may result in withheld or reversed rewards and removal from the Program.

7. CHANGES, SUSPENSION, AND TERMINATION

• We may change, suspend, or end the Program, or change reward amounts, thresholds, or these Terms, at any time. Material changes take effect when posted or when we notify you. Continued participation means you accept the changes.
• We may suspend or terminate your participation and withhold unpaid or fraudulent rewards if we reasonably believe you have violated these Terms or applicable law.
• You may stop participating at any time. Validly earned, unreversed rewards above the minimum threshold remain payable.
• You must keep an active PepMate subscription to keep your affiliate code available for new referrals. If your subscription expires and is not renewed, your affiliate code will be disabled 5 days after the subscription grace period ends. If you still have not renewed, your affiliate code will be deleted 10 days after the subscription grace period ends. Once deleted, the code can no longer be used for new referrals and may not be recoverable.
• If you delete your PepMate backend account identity, your affiliate profile is closed and your affiliate code is deleted so it can no longer be used for new referrals. You stop earning new rewards immediately. Rewards that are still PENDING/UNVESTED (within the refund hold period and not yet approved for payout) are forfeited on account deletion. Rewards you have already EARNED (approved for payout but not yet paid) are retained only as needed to complete the payout — including the payout details required to pay you — and that payment data is then purged a set period after payment is made, leaving only minimal anonymized accounting records retained for refund, fraud, tax, accounting, and legal compliance. If you have earned, unpaid rewards but no valid payout method on file at deletion, we may be unable to pay them.

8. RELATIONSHIP

You participate as an independent party. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and PepMate / Protasys.

9. NO GUARANTEE

Participation does not guarantee any earnings. Earnings depend entirely on qualifying subscriptions you refer.

10. DISCLAIMERS AND LIABILITY

The Program is provided "as is". To the maximum extent permitted by law, PepMate / Protasys is not liable for indirect, incidental, or consequential damages arising from the Program, and our total liability is limited to the unpaid rewards validly owed to you.

11. GOVERNING LAW

These Terms are governed by the laws of Greece, without regard to conflict-of-law rules, and any disputes are subject to the competent courts of Greece, unless mandatory local law provides otherwise.
